1. Introduction
Welcome to Talon, an AI-powered sales agent product operated by Havik Labs (Pvt) Ltd ("Havik Labs", "we", "us", or "our"), a company incorporated in Sri Lanka. These Terms of Service ("Terms") govern your access to and use of Talon, including our website at runtalon.com and all related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using Talon, you represent that you meet these requirements and that all information you provide is accurate and complete.
3. Account Registration
To access the Service, you must create an account. You are responsible for:
- Keeping your account credentials confidential
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access at kavishma@kiwi-money.com
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Use of the Service
4.1 Permitted Use
You may use Talon solely for lawful business purposes in accordance with these Terms. The Service is intended to help businesses respond to customer inquiries via messaging channels including WhatsApp, Instagram DMs, and Facebook Messenger.
4.2 Prohibited Use
You agree not to:
- Use the Service to send spam, unsolicited messages, or engage in any form of harassment
- Violate any applicable laws or third-party platform policies, including Meta's terms of service
- Attempt to gain unauthorised access to the Service or its underlying systems
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
- Use the Service to transmit harmful, illegal, or fraudulent content
- Resell or sublicense access to the Service without our written consent
5. Third-Party Platforms
Talon integrates with third-party messaging platforms including WhatsApp, Instagram, and Facebook Messenger (collectively, "Third-Party Platforms"). Your use of these platforms is governed by their respective terms of service.
We are not responsible for any changes, disruptions, or limitations imposed by Third-Party Platforms that affect the functionality of the Service. You are solely responsible for ensuring your use of the Service complies with all applicable Third-Party Platform policies.
6. Subscription and Payment
6.1 Plans and Pricing
Talon is offered on a subscription basis. Current pricing plans are listed on our website at runtalon.com/pricing. Prices are displayed in USD and exclude applicable local taxes.
6.2 Billing
Subscriptions are billed on a monthly basis. By providing your payment information, you authorise us to charge your payment method at the start of each billing cycle.
6.3 Free Trial
We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
6.4 Cancellation
You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a billing period.
6.5 Price Changes
We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price changes via email or in-app notification.
7. Your Content
You retain ownership of all content, data, and materials you upload to the Service, including product information, pricing, scripts, and conversation data ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive licence to use it solely to provide and improve the Service.
You are solely responsible for ensuring that Your Content does not violate any applicable laws, third-party rights, or these Terms. We do not review Your Content but reserve the right to remove any content that violates these Terms.
8. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy, available at runtalon.com/privacy. By using the Service, you consent to our data practices as described in that policy.
Upon cancellation of your account, we will delete your data within 30 days, unless we are required to retain it by law.
9. Intellectual Property
All rights, title, and interest in and to the Service, including its software, design, and content (excluding Your Content), are owned by Havik Labs. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
"Talon" and the Talon logo are trademarks of Havik Labs (Pvt) Ltd. You may not use our trademarks without prior written consent.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
We make no guarantees regarding the performance of any AI-generated responses. You are responsible for reviewing and overseeing all communications sent via the Service.
11. Limitation of Liability
To the fullest extent permitted by law, Havik Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost revenue, lost data, or business interruption.
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the three months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Havik Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by cancelling your subscription and deleting your account from the dashboard.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes via email or a notice on our website at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
